Request for Proposals for Governance Consultation

Background
The National Indigenous Knowledge and Language Alliance (NIKLA-ANCLA) mission is to create an association to unify and amplify the voices of Indigenous Peoples (First Nations, Métis, and Inuit) to network and nurture a community of practice related to Indigenous knowledge, cultural memory, language, and Indigenous ways of knowing, as they relate to culture memory and heritage. In March 2021, NIKLA-ANCLA was established as a registered not-for-profit organization.
Objective
NIKLA-ANCLA invites proposals from qualified firms to conduct a comprehensive assessment of their governance practices and environmental scan of NIKLA-ANCLA’s organizational governance including governance framework and policies, strategic alignment with mission and core activities, operational systems, engagement with Elders, members and cultural memory practitioners for the purpose of confirming a future direction, to ensure all aspects of governance, maintain trust and ensure confidence in the organization.
Goal
The goal is to strengthen and support NIKLA-ANCLA Council effectiveness and to ensure that its governance practices reflect Indigenous cultural integrity, protocols, and the principles of respect, reciprocity, transparency, and accountability are embedded into all aspects of the organizational practices.
Services Required
This firm will review the governance and related activities and compile recommendations from their findings to be submitted to Council for review by May 14, 2025.
Governance Framework Review
Review by-laws and make recommendations
Evaluate council structure effectiveness
Review policies
Strategic Alignment
Assess organizational structure
Review of strategic plans
Create options to plan for secure ongoing funding
Operational Systems
Assess policies and procedures
Audit of documentation and organization procedures
Environmental Scan and Cultural Alignment
Make recommendations for strengthening governance and protocols
The draft report governance and related findings will be presented to NIKLA-ANCLA Council on May 21, 2025 at 7 pm EST
The final report on the governance and related findings will be presented at NIKLA-ANCLA Annual Gathering of Members taking place via hybrid format on June 16, 2025 1pm to 4 pm EST.
Topics to be reviewed include, but are not limited to:
Size and composition of Council.
Terms of Reference for committees.
Broadening or narrowing scope of activities.
Legislative or by‐law amendments impacting self‐regulatory responsibilities.
The review may recommend changes to the organization’s existing governance structures, policies, and procedures, in order to ensure best practices in governance.
Qualifications
Proven experience and knowledge in similar undertakings.
Proposals should outline the applicant’s relevant skills and experience including the ability to analyze and compare different board governance models, especially in the non‐profit sector, and navigate the intricacies of a non‐partisan, non‐profit organization.
Demonstrated familiarity with board governance, critical and analytical thinking, and project evaluation will all be considered important elements in this project.
Financial Considerations
The budget for this project is $20,000 for 130 hours for the scope of work as stated.
Required Information
Proposals must include:
A description of your firm and areas of expertise.
A description of your relevant work with other Indigenous or not-for-profit organizations
A summary description of your plan to undertake the proposed work..
A list of names and contact person(s) for up to three references for work most similar to NIKLA.
Definitions
Throughout this Request for Proposals, the following definitions apply:
“Contract” means the written agreement resulting from this Request for Proposals executed by the Organization and the Proponent;
“The Organization” means The National Indigenous Knowledge and Language Alliance;
“Must” or “mandatory” means a requirement that must be met for a proposal to receive consideration;
“Proponent” means an individual or a company that submits, or intends to submit, a proposal in response to this Request for Proposals; and
“Request for Proposals” or “RFP” means the process described in this document;
“Should” or “desirable” means a requirement having a significant degree of importance to the objectives of the Request for Proposals.
Organizational Conflicts of Interest
Firms must disclose that, to the best of their knowledge, there are no relevant factors or circumstances which could give rise to organization conflicts of interest.
Submission of Proposals
Proposals must be submitted electronically by email, using “Proposal for NIKLA governance services” in the subject line. Please submit your proposal by March 25, 2025 to admin@nikla-ancla.com.
Timeline
The below timeline provides the anticipated schedule for the CFP process and signing of a Contract. The timing and the sequence of events resulting from this RFP may vary and shall ultimately be determined by the Organization.
